CODE OF CONDUCT
Yuri GmbH
Version 1.0
Foreword by the Management
Yuri stands for scientific excellence, technological innovation and the ambition to harness the potential of space for the benefit of health, research and society. Our technologies open up new opportunities for biotechnology and enable innovative applications whose impact extends far beyond space itself.
With this responsibility comes an equally important commitment: to act with integrity, accountability and transparency in everything we do. Our success is measured not only by our scientific achievements and business performance, but also by the way in which we achieve them.
This Code of Conduct sets out the values and principles that guide our daily actions. It provides a framework for responsible decision-making and establishes a common foundation for collaboration, integrity and sustainable business success.
Every employee contributes to bringing these principles to life. Management is committed to creating the organisational conditions necessary to support ethical conduct, leading by example and fostering a culture of openness, trust and transparent communication.
Together, we share the responsibility of earning and maintaining the trust of our customers, partners, funding organisations, investors, public authorities and society - every single day.
Preamble
Yuri develops technologies and services at the intersection of science, space and industry. Our work contributes to advancing scientific knowledge, developing innovative products and technologies, and unlocking the potential of space in a responsible way for the benefit of business and society.
As an internationally operating research and technology company, we work in an environment characterised by rapid innovation, global collaboration and complex regulatory requirements. Many of our developments have significant scientific, economic and societal potential. This creates a special responsibility towards our employees, customers, partners, investors, funding organisations and society as a whole.
Compliance with applicable laws and regulations forms the foundation of everything we do. Responsible corporate conduct, however, goes beyond mere legal compliance. Not every situation can be fully addressed by legislation or internal policies. Especially where emerging technologies, scientific challenges and diering interests converge, integrity, sound judgement and ethical decision-making are essential.
This Code of Conduct applies to all employees, managers, members of the Executive Management Team, and anyone acting on behalf of Yuri. It complements applicable laws, internal policies and contractual obligations and serves as the binding framework for responsible and ethical conduct throughout our organisation.
1. Our Company
Our business is driven by a clear vision: combining scientific innovation with social responsibility.

A bright future for health and beyond.

space.
These guiding principles shape both our long-term strategy and our day-to-day decisions. They commit us to combining scientific excellence with the highest standards of quality, integrity and sustainability.
We develop our products and services responsibly throughout their entire life cycle - from the initial concept and research through development to customer application.
Our objective is to deliver innovative solutions on time and to the highest quality standards, while consistently meeting the highest expectations regarding quality, safety and reliability.
Our Quality and Environmental Management Systems are aligned with the requirements of EN 9100 and ISO 14001 and are continuously improved to ensure operational excellence.
2. Our Values
Our corporate culture is built on shared values. They define how we work and guide our decisions, particularly where laws or internal policies do not provide a clear answer.
Stay Courageous
We challenge the status quo, embrace innovation and take ownership of our decisions. For us, courage means exploring new approaches, assessing risks responsibly and learning continuously from experience.
Celebrate Diversity
Innovation thrives on diverse perspectives. We foster an inclusive working environment built on respect, openness and mutual appreciation. Discrimination, harassment and exclusion have no place at Yuri.
Do Good
We leverage scientific progress to create lasting value for health, research and society. When developing new technologies, we always consider not only economic opportunities but also their ethical, environmental and societal implications.
Take Care
We act responsibly towards our employees, customers, partners and the environment. Safety, quality, sustainability and mutual support are fundamental principles that guide our everyday work.
Speak Up
Open communication and a constructive learning culture are essential drivers of innovation and continuous improvement. We encourage everyone to raise concerns, report mistakes and speak up about potential misconduct at an early stage. Anyone who reports concerns in good faith can do so without fear of retaliation.
5. Integrity in Business
"Trust is the foundation of every sustainable business relationship."
Yuri conducts its business lawfully, transparently and responsibly at all times. Our success is built on scientific excellence, outstanding quality and the trust of our customers, business partners, funding organisations and investors. We protect that trust by acting with integrity in everything we do.
5.1 Anti-Bribery and Anti-Corruption
Yuri maintains a zero-tolerance approach to bribery, corruption, fraud and any form of improper influence.
Business decisions must always be based on objective, transparent and legitimate criteria. Personal benefits must neither be offered, requested nor accepted if they could influence, or appear to influence, business decisions or create the perception of preferential treatment.
Gifts, hospitality and invitations may only be offered or accepted where they are reasonable, transparent, legally permissible and consistent with accepted business practice. Whenever there is uncertainty, employees must seek guidance from their manager or the responsible Compliance function before taking any action.
5.2 Conflicts of Interest
Business decisions must always be made in the best interests of Yuri.
Personal, financial or family interests must never influence - or appear to influence- professional judgement or business decisions.
Potential conflicts of interest may arise, for example, from:
outside employment or secondary business activities;
financial interests in customers, suppliers or other business partners;
personal or family relationships;
scientific collaborations;
consultancy engagements; or
the receipt of personal benefits.
Conflicts of interest are not prohibited in themselves. However, they must be disclosed promptly and managed transparently to protect both the individual and the Company.
5.3 Fair Competition
Yuri is committed to free, open and fair competition.
We do not enter into agreements or engage in practices that unlawfully restrict competition, including arrangements relating to prices, markets, customers or other competitively sensitive information.
We compete through innovation, scientific excellence, quality and performance - not through unfair or anti-competitive business practices.
6. Scientific Integrity and Responsible Innovation
"Innovation creates the future. Integrity creates trust."
Scientific integrity is the foundation of our credibility. Research and development can create lasting value only when conducted honestly, transparently and responsibly.
Our decisions are based on sound scientific evidence, reliable data and professional expertise.
We are committed to:
presenting research findings accurately and truthfully;
documenting data in a complete, transparent and traceable manner;
evaluating scientific results objectively;
communicating risks and uncertainties openly; and
identifying mistakes early and using them as opportunities for continuous improvement.
The manipulation, falsification or intentional misrepresentation of scientific results is fundamentally incompatible with our values and will not be tolerated.
Responsible Innovation
For Yuri, innovation means far more than technological progress.
From the earliest stages of research and development, we carefully consider:
scientific and technical risks;
impacts on health and safety;
environmental implications;
ethical considerations;
potential dual-use implications;
long-term sustainability; and
broader societal impacts.
Innovation and responsibility are inseparable. Every technological advancement should contribute positively to society while meeting the highest ethical and scientific standards.
Bioprinting and Life Sciences
As a Space Biotech company, Yuri recognises its particular responsibility in developing life science technologies.
Bioprinting and related technologies are developed exclusively in accordance with recognised bioethical principles. The safety of people and the environment, scientific integrity and the responsible handling of biological materials are our highest priorities. Our objective is to advance medical and scientific innovation responsibly while identifying and addressing potential risks at an early stage.
7. Quality, Environment and Sustainable Space Activities
"Excellence means quality, sustainability and continuous improvement."
Quality is an integral part of Yuri's corporate culture. Our products and services are designed to meet customer expectations and comply with all applicable regulatory requirements. We are committed to delivering solutions on time and to the highest quality standards. Our management systems are aligned with the requirements of EN 9100 and ISO 14001. Continuous improvement is a shared responsibility across the organisation. We encourage employees to report errors openly, analyse their causes and use the lessons learned to improve our processes on an ongoing basis.
Environmental Responsibility
Environmental considerations form part of every stage of our products' and services' life cycle.
Our commitment includes:
using energy and natural resources responsibly;
preventing emissions and reducing waste wherever possible;
promoting sustainable procurement practices;
continuously improving our environmental performance; and
considering environmental impacts throughout research and product
development. We regard sustainability as an essential element of responsible business management.
Responsibility for the Sustainable Use of Space
Outer space is a shared and finite resource.
As a space technology company, Yuri is committed to supporting its sustainable and responsible use.
We support internationally recognised best practices and consider, in particular:
the responsible use of resources;
the long-term sustainability of space infrastructure;
scientific knowledge relating to the sustainable use of outer space; and
the prevention of avoidable risks affecting future missions.
Our innovations are intended to contribute to scientific progress, economic success and the long-term sustainability of space activities.
8. Human Rights, Diversity and Collaboration
"Innovation thrives where diverse perspectives come together to achieve common goals."
We treat every individual with respect, fairness and dignity. Different backgrounds, experiences, cultures and areas of expertise strengthen our collaboration and enhance our ability to innovate. Discrimination, harassment, bullying and intimidation have no place at Yuri. We respect internationally recognised human rights and expect the same commitment from our business partners.
In particular, we reject all forms of:
child labour;
forced labour;
human trafficking;
modern slavery;
discrimination; and
inhumane or exploitative working conditions.
When selecting suppliers and business partners, we consider not only quality and commercial performance but also their integrity and their commitment to human rights, social responsibility and environmental sustainability.
We foster a corporate culture based on openness, mutual trust, inclusion and constructive collaboration, recognising that these principles form the foundation of our long-term success.
9. Protection of Information, Data and Intellectual Property
"Knowledge is the foundation of innovation. Protecting it is a shared responsibility." Innovation is driven by research, creativity and the trusted exchange of knowledge. We therefore protect Yuri's intellectual property and confidential information with the same care and diligence that we apply to the confidential information and intellectual property rights of our customers, business partners and scientific institutions.
This includes, in particular:
patents, trademarks and copyrights;
research and development data;
technical documentation;
software and source code;
trade secrets;
confidential business and investor information; and
personal data.
Confidential information may only be used for legitimate business purposes and mayonly be disclosed to individuals who require access in order to perform their responsibilities.
We equally respect the intellectual property rights and confidential information of third parties and use such information only in a lawful and ethical manner.
Information security is an integral part of our commitment to quality. Every employee shares responsibility for protecting company information and personal data against loss, unauthorised access, disclosure, alteration or misuse and for complying with all applicable data protection and information security requirements.
10. Export Control, Dual-Use and Responsible Technology
"Technological innovation requires responsibility that extends beyond legal compliance."
As a company operating in the space and biotechnology sectors, Yuri develops technologies that may have both civilian and other potential applications. We recognise the particular responsibility that accompanies such technologies.
We comply with all applicable export control, customs, sanctions and international trade regulations.
Before entering into new business relationships or transactions, we assess, where appropriate:
the end user;
the intended end use;
applicable sanctions;
export restrictions;
potential human rights risks; and
the potential misuse of our technologies.
Legal permissibility alone is not always suicient. Whenever there are legitimate concerns about whether a business relationship is consistent with our values and corporate responsibility, we exercise particular care, seek expert advice and involve the relevant functions at an early stage.
For Yuri, responsible space activities also mean ensuring that our technologies are developed, transferred and used responsibly.
11. Digitalisation and Artificial Intelligence
"Artificial Intelligence supports human decision-making—it never replaces human responsibility or critical judgement."
Digital technologies and Artificial Intelligence (AI) play an increasingly important role in our research, development and business processes.
We use these technologies responsibly, transparently and exclusively in compliance with all applicable legal, regulatory and internal requirements.
When using AI, we are committed to:
ensuring meaningful human oversight and accountability;
protecting privacy and information security;
promoting transparency and explainability where appropriate;
minimising bias and discrimination;
identifying and managing risks at an early stage; and
safeguarding scientific integrity at all times.
AI-generated content must always be critically reviewed before use. Confidential information and personal data may only be processed using approved systems and applications.
Before deploying AI solutions involving confidential or personal data, all applicable data protection, information security and contractual requirements must be satisfied.
Artificial Intelligence must never be used to manipulate research results, distort scientific findings, circumvent legal or regulatory requirements, or create misleading or deceptive content.
12. Communication and Responsibility Towards Our Stakeholders
"Trust is built through openness, reliability and responsible communication."
The way we communicate shapes the trust that customers, business partners, investors, funding organisations, public authorities and the wider public place in Yuri.
We communicate honestly, accurately and transparently. Only authorised individuals may make official statements or commitments on behalf of the Company.

In our decisions and communications, we consider the legitimate interests of our employees, customers, suppliers, scientific partners, investors, funding organisations,public authorities and society, always striving to strengthen sustainable trust.
13. Speak-Up Culture and Ethical Decision-Making
"Integrity also means asking questions, raising concerns and speaking up when something does not seem right."
A responsible corporate culture depends on identifying risks, mistakes and potential misconduct at an early stage and addressing them openly.
All employees are encouraged to ask questions, seek guidance whenever they are uncertain, and report suspected violations of applicable laws, internal policies or this Code of Conduct.
Concerns may be raised through, for example:
the relevant manager;
Human Resources;
the responsible Compliance function; or
the Company's designated whistleblowing channels.
Anyone who raises concerns in good faith will be protected against retaliation or any other form of disadvantage.
Not every business situation can be resolved solely by reference to laws or internal policies. Particularly in an innovation-driven organisation, sound judgement, ethical reflection and alignment with our corporate values are essential.
Before making important decisions, we ask ourselves:
Is it lawful?
Is it consistent with our values?
Is it scientifically and professionally justifiable?
Have we considered its potential impact on people, the environment andsociety?
Would we be comfortable explaining and defending this decision publicly?
Whenever ethical or legal uncertainties arise, employees are expected to seek advice from their manager or the appropriate specialist functions at an early stage.
Responsible decisions are based on careful consideration, transparency and the willingness to take personal responsibility.
14. Implementation and Compliance with this Code of Conduct
"Compliance is not the responsibility of a few—it is the shared responsibility of us all."
This Code of Conduct establishes the binding framework for responsible and ethical conduct throughout Yuri. It applies to all employees, managers and everyone acting on behalf of the Company.
The principles set out in this Code form the foundation of our corporate culture and Compliance Management System. They are supported by additional internal policies and procedures, including those relating to:

Violations of applicable laws, internal policies or the principles set out in this Code may result in disciplinary measures, contractual consequences or other legal action, depending on the nature and severity of the individual case.
